These Terms of Use ("Terms") govern your access to and use of local.pet and the services provided there (the "Service"), which are operated by Local Value, LLC DBA Local.Pet, a fictitious-business-name of Local Value, LLC.
By using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
2. Your account
If you create an account you must provide accurate information and keep it current. You are responsible for activity that occurs under your account; keep your credentials confidential. Notify us immediately at legal@local.pet if you suspect unauthorized access.
3. License to use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the purposes appropriate to your role on the platform, subject to these Terms, our Acceptable Use Policy, and any role-specific service agreement applicable to you. For ordinary visitors and Pet Lovers, that purpose is personal use of the directory. For Business Owners, Managers, Gig Workers, and Advertisers, that purpose is the role described in your applicable service agreement. Using the Service outside the scope of these licensed purposes is a violation of these Terms.
3.1 Order of precedence
If these Terms conflict with a role-specific service agreement (Business Owner, Manager, Gig Worker, Advertiser), an advertising order form or insertion order, a provider onboarding agreement, or specific payment terms presented to you at point of transaction, the more specific document controls for that role or transaction. The Acceptable Use Policy is incorporated into these Terms and into every role-specific agreement.
4. Business listings
The Service includes a directory of businesses populated from public sources (Google Places, business websites, manual submissions). We do not endorse any business listed and we are not responsible for the goods or services they provide. You transact with businesses at your own risk.
Listed businesses may claim and edit their listings, subject to our verification process and the Business Owner Service Agreement.
5. User content
You may submit content to the Service — including reviews, claim notes, edits to listings you have claimed, and uploaded photos (each, "User Content"). You retain ownership of your User Content. You grant Local Value, LLC DBA Local.Pet a worldwide, royalty-free, sublicensable, non-exclusive license to host, store, reproduce, display, distribute, and create derivative works of your User Content for the purpose of operating, marketing, and improving the Service.
You represent that you own or have the necessary rights to submit User Content, and that it does not violate our Acceptable Use Policy.
6. Prohibited conduct
You agree not to engage in any conduct prohibited by our Acceptable Use Policy, which is incorporated by reference.
7. Third-party services and links
The Service may link to or integrate third-party services (Google Maps, reservation systems like OpenTable, payment processors, etc.). These are governed by their own terms. We are not responsible for third-party services.
8. Intellectual property
The Service and all content provided by us (excluding User Content and third-party content) — including the Local.Pet name and logo — are owned by or licensed to Local Value, LLC. Nothing in these Terms transfers any of those rights to you.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT BUSINESS LISTINGS ARE ACCURATE OR COMPLETE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA WILL BE PRESERVED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Local Value, LLC DBA Local.Pet, ITS AFFILIATES, AND ITS PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
11. Indemnification
You will defend, indemnify, and hold harmless Local Value, LLC DBA Local.Pet, its affiliates, and its personnel from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access at any time, with or without notice, for any reason — including breach of these Terms or our Acceptable Use Policy. You may delete your account at any time by emailing legal@local.pet.
13. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.
14. Changes to these Terms
We may update these Terms. Material changes will be notified by email to account holders and via an in-app consent banner. Continued use after the effective date of the updated Terms constitutes acceptance.
15. General provisions
Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Entire agreement. These Terms, together with the documents they incorporate (Acceptable Use Policy, Privacy Notice, Cookie Policy, and any role-specific service agreement applicable to you), are the entire agreement between you and us with respect to the Service and supersede prior or contemporaneous agreements on the same subject.
Survival. Provisions that by their nature should survive termination (including ownership, content licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and these General Provisions) will survive.
Force majeure. Neither party is liable for failure to perform caused by events beyond reasonable control (including natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet outages, or third-party service interruptions).
Notices. Notices to you may be sent to the email on your account or by posting on the Service. Notices to us must be sent to 2305 Historic Decatur Road #100, San Diego, CA 92106, Attention: Legal, with a copy to legal@local.pet.
Electronic communications. You consent to receive communications from us in electronic form, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
